Barre Eclipse Studio Partnership Terms and Conditions Agreement

We're excited about the potential of our partnership! To ensure a smooth and beneficial experience for everyone, please take a moment to review this Agreement. Your understanding and agreement with these terms are essential to our collaboration. If you have any concerns, please let us know. If you are unable to agree with the terms, we must ask you to refrain from becoming a partner.
This agreement outlines the terms and conditions governing the Barre Eclipse Studio Partnership, encompassing access to resources, intellectual property usage, payment, liability, and brand integrity. In this agreement, "Partnership" refers to the Barre Eclipse Studio Partnership, "Us," "We," and "Our" refer to Barre Eclipse, and "You" and "Your" refer to the purchasing business or studio.
The partnership includes a select number of coupon codes for our teacher training course, determined by your purchase (5, 12, or 20-pack). The coupon codes provided for the Barre Eclipse Studio Partnership are designed to offer pricing flexibility to recoup the cost if so desired. When selling these codes publicly, such as through social media or email promotions, you may not sell them for a price lower than the current sale price of $749. However, if you choose to sell the coupon codes privately, such as in exclusive offers for select individuals, you may set any price you deem appropriate without restriction.
Classes may only be named and marketed as "Barre Eclipse" if taught by Licensed Barre Eclipse Instructors, who are active members of Barre Eclipse Global.
Active membership in Barre Eclipse Global, maintained through a monthly subscription of $19.95, is required to maintain your Barre Eclipse Instructor License and teach Barre Eclipse classes. Members of Barre Eclipse Global gain access to an exclusive online community, monthly group mentorship sessions, "The Source" resource library, up-to-date branding materials, the BE Teacher Network, global Barre Eclipse challenges, and opportunities to lead training immersions. Cancellation of membership will result in the loss of license, which can be renewed again with the purchase of another Global membership.
Further, upon becoming licensed and joining Barre Eclipse Global, your instructors will have access to marketing material and resources. The resources provided are for your business use only. Redistribution, resale, or sharing of these materials with any third party not affiliated with your business is strictly prohibited.
All content, materials, and resources provided are the intellectual property of Barre Eclipse. You are permitted to use the IP marketing materials, including logos and photos to promote your partnership with Barre Eclipse, including our Certification Course, instructor resources in "The Source," and the Eclipse Pass for online classes on our app. You may also use the IP within your physical studio and online across various channels, such as websites, blogs, emails, social media, and digital advertisements, to promote your in-person Barre Eclipse classes only and your practice teaching sessions in conjunction with our Certification Course.
However, you may not use the IP to promote your own Barre Eclipse training or online classes, livestreams, on-demand content, or apps whether private or public. Further, you may not use the marketing material to promote classes that are not labeled as Barre Eclipse. This restriction preserves brand clarity and consistency, ensuring the "Barre Eclipse" name remains exclusive to our programs. Partners are allowed to modify Barre Eclipse materials for their studio use but cannot use the Barre Eclipse brand name with these changes. The original materials remain in tact and used as is, and they remain Barre Eclipse's property. Redistribution, sale, or transfer of these materials to third parties is prohibited without Barre Eclipse's explicit approval. Upon partnership termination, all use of Barre Eclipse materials must cease, and any copies must be returned or destroyed.
All Barre Eclipse Studio Partnership purchases include a $100 non-refundable administration fee. Each used coupon code also incurs a $50 non-refundable administration fee. Partial refunds may be requested within 30 days of purchase, calculated as the total purchase price minus the $100 administration fee and $50 per used coupon code. To request a refund, contact partner@barreeclipse.com with purchase details. Once received, we will review the request and, if accepted, process the refund (minus administration fees) to the original payment method. Upon refund processing, you will lose access to provided resources, may not use the IP, and all coupon codes will be deactivated, revoking access for any trainees using them. We trust our partners to cease using Barre Eclipse's IP across all platforms upon refund processing.
Should your instructors fail to complete the training in the allotted timeframe of five months, you or they may purchase a Barre Eclipse Certification Subscription until the course is complete. The Barre Eclipse Certification Subscription offers flexible, self-paced access to our comprehensive Barre Teacher Training program for a monthly fee of $195. While subscribed, you have complete access to all course materials, including "The Manual," an exclusive forum, email support, quizzes, discounts, and the opportunity to become a Licensed Barre Eclipse Instructor. The subscription automatically renews monthly until canceled. All sales are final, with no refunds.
By partnering with us, you acknowledge the inherent risks of physical activities associated with fitness classes and agree to take necessary precautions and adhere to your establishment's safety guidelines. You release Barre Eclipse, its agents, and employees from liabilities, claims, or expenses arising from injuries, illnesses, or damages during Barre Eclipse classes, including those from physical activities, equipment use, acts or oversights of Barre Eclipse representatives, and pre-existing health conditions. You agree to indemnify Barre Eclipse against related claims. Barre Eclipse, its agents, and employees are not liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, data, or other intangible losses. While our fitness training is safe, we do not assume responsibility for injuries or health complications. While we aim to assist in revenue increase, we do not guarantee financial outcomes. Marketing material efficacy is not guaranteed, and you should tailor them to your audience. We offer ongoing support, but business success depends on factors beyond our control. We provide services and materials "as is" without warranties, but we value feedback.
You understand neighboring businesses may partner with us. We encourage collaboration over competition. We are not liable for other businesses’ decisions but encourage collaboration for a stronger Barre Eclipse community.
Conflicts or controversies may lead to cessation of shared marketing and detachment from ventures. Issues opposing Barre Eclipse's values may require content removal, and we may distance our brand from your promotions.
We agree to a constructive alliance and non-disparagement. Disagreements will be addressed respectfully. If unresolved, we will proceed to dispute resolution and mediation.
Disputes will be resolved through good-faith negotiations. If unresolved after 30 days, mediation will be initiated, with costs shared equally. Mediation is required before legal action.
This Agreement is governed by the laws of Washington, USA.
